Medical professional agreement

Carefully study these conditions before using FibriCheck and recommending the application to your patients, including Article 6 on the processing of my personal data. Before you will be able to recommend FibriCheck to your patient, you must first accept this agreement. By using FibriCheck, you declare to accept that you will be bound to these conditions and waive any of your own general terms and conditions.
WHEREAS
A. Qompium is a company, which focuses on the development and marketing of integrated mobile solutions for better health, preventive as well as remedial.
B. Qompium has developed a solution, FibriCheck, an integrated mobile solution, which allows for the swift and accurate detection of heart rhythm disorders with a focus on Atrial Fibrillation (consisting of a dashboard for physicians, the FibriCheck Physician Dashboard, and mobile application, the FibriCheck App), as described in Article 1 of this Agreement (“FibriCheck”).
C. You and (potentially) other treating physicians of your Health Institution wish to make use of FibriCheck.
1. Description of the Application for the physician
FibriCheck is an integrated mobile solution, which enables rapid and accurate detection of certain heart rhythm disorders, with a focus on atrial fibrillation. You and (potentially) other treating physicians of your Health Institution can onboard patients to use FibriCheck by providing them with an access code for a certain period. You and (potentially) other treating physicians of your Health Institution can easily generate this access code through your personal physician dashboard (the “FibriCheck Physician Dashboard”). Once the patient has entered or scanned the access code correctly, the data collected from patients using the FibriCheck mobile application (the “FibriCheck App”) will be forwarded automatically to a secured cloud environment. You and (potentially) other treating physicians of your Health Institution can access the data of all patients using the login credentials. As such, you and (potentially) other treating physicians of your Health Institution can get a complete overview of your patients to take the suitable clinical actions.
Your patients can carry out an unlimited number of heart rhythm measurements as long as the access code is active. These measurements take place by holding a finger on the camera of the mobile device for sixty (60) seconds. If the patient uses a compatible smartwatch, the measurements take place automatically on the wrist once the patient has confirmed that he wants to take a measurement. By using the optic light and the sensor of the mobile device or smartwatch, the wrist pulse is detected and the certified algorithms can analyze the signal.
Once a physician account is created, you and (potentially) other treating physicians of your Health Institution will have access to the FibriCheck Physician Dashboard, where access codes can be generated. All data of your patients, including all their heart rhythm measurements and the analysis result provided by our algorithms, are shown in the FibriCheck Physician Dashboard.
Before recommending FibriCheck to patients, you and (potentially) other treating physicians of your Health Institution undertake to inform these patients about the benefits, and the use and operation of FibriCheck. The materials needed for this are available. You and (potentially) other treating physicians of your Health Institution will not infringe on your own therapeutic freedom, or the free choice of the patient, or any other laws or regulations, or rules that apply within a hospital. In this respect,you warrant that you and (potentially) other treating physicians of your Health Institution using FibriCheck, will only use the Application as an aid, and not as a replacement for their own knowledge and expertise.
2. Certified products
Qompium guarantees the quality of its products and has an EN ISO 13485:2016-certified quality control system for medical products, which has been verified and approved by SGS Belgium NV, Notified Body, 1639. The ISO certificate has certificate number BE16/819942372. FibriCheck also has a CE certificate as medical device (Class IIa) in accordance with the Medical Device Directive (MDD) 93/42/EEC Annex II (excl. §4) for the FibriCheck product: a screening and monitoring software tool to detect irregular heart rhythms for the area of diagnostics for heart rhythm disorders. The certification of FibriCheck as Medical Device was received on 28/6/2016 with certificate number BE16/819942412. FibriCheck has been successfully re-certified since 08/10/2019.
3. Monitoring your patients
FibriCheck is an instrument to gain more insight into patients. Therefore, you and (potentially) other treating physicians within your Health Institution using the Application remain responsible for the ultimate interpretation of the provided measurements, including the ultimate and final interpretation of the analysis of the measurements (provided by the algorithm and the Expert Review Team, as defined hereinafter), as well as the continued monitoring of patients. Qompium will not contact patients itself without yours or other treating physicians within your Health Institution express written permission and is not responsible in any way for any notice to the patient in this respect. You and (potentially) other treating physicians of your Health Institution accept and take full responsibility as described above.
Qompium has an expert review team (the “Expert Review Team”), composed of medical workers and signal experts, who supports the monitoring of the measurements of patients. Specifically, the Expert Review Team will manually analyze all heart rhythms indicated as being irregular by the algorithm and will inform you within three (3) days if the patient has experienced new heart rhythm irregularities. Specifically, you will receive one (1) summarizing e-mail per day which provides details about patients in whom the Expert Review Team has confirmed the abnormal measurements. This e-mail also contains the final reports about patients whose period has expired. The email will be sent to you but can be sent to another physician of your Health Institution upon your request.
In order to support you and (potentially) other treating physicians of your Health Institution with monitoring patient data, you and (potentially) other treating physicians of your Health Institution grant the Expert Review Team of Qompium hereby permission to access the data (in accordance with Article 11 of this Agreement) and to verify the automatic algorithm outcome.
For the avoidance of doubt, you will only receive a notification the first time that a certain heart rhythm irregularity is found and confirmed by the Expert Review Team. If the patient develops permanent atrial fibrillation, for example, you will receive a notification when atrial fibrillation is first measured, and a final report after the end of the prescribed period. Notwithstanding the foregoing, it must be noted that at all times you and (potentially) other treating physicians of your Health Institution can access the data of all your patients through the FibriCheck Physician Dashboard. Furthermore, integrations with the Health Institution’s system can also be made at your request subject to acceptance of a quote that will be provided and expensed to you or your Health Institution.
4. Services and conditions to payment
4.1 By default, the FibriCheck Pro package will be activated whereby patients are required to pay directly to us. No upfront payment from you or your Health Institution is required.
4.2 Upon your request, you can upgrade your package to a hospital licence agreement. In accordance with Article 5 of this Agreement, the FibriCheck License (as defined in Article 6) can include, but is not limited to:
- Practice set-up and onboarding, including provider education, patient and stakeholder engagement, alignment with practice initiatives/ awareness raising/ campaign support, technical integrations and modifications to the application for the inclusion of additional data sets, patient questionnaires, outcomes study reports, audit reports;
- FibriCheck and its associated services offered across various care pathway settings and to different patient populations, including: case finding and detection, triaging of symptomatic patients, medication monitoring, post-treatment monitoring;
- Selectable monitoring duration for 1 week, 1 month or 3 months (can be individually set-up per patient);
- Interpretation service by FibriCheck Expert Review Team;
- Upgrades and updates;
- Support services as detailed in our SLA.

5. License
5.1 Subject to this Agreement, Qompium grants you a personal, restricted, non-exclusive, non-transferable and non-assignable license to use FibriCheck and its associated services in accordance with this Agreement with the possibility to grant sub-licenses to other treating physicians of your Health Institution (the “FibriCheck License”). This license is limited to the term of this Agreement.
5.2 The extent of the FibriCheck Licenses granted under this Agreement is restricted to the scope expressly set forth herein, and there are no implied licenses under this Agreement. Qompium reserves any right not expressly granted to you hereunder.
5.3 You shall comply with all applicable medical, health and data protection laws relating to the use of FibriCheck.
5.4 Without prejudice to Article 6.1 of the Agreement, you shall not:
a. make back-up copies of FibriCheck without Qompium’ s authorization;
b. arrange or create derivative works based on FibriCheck without Qompium’ s express written consent;
c. assign, distribute, sub-license, hire, transfer, sell, lease, rent, charge or otherwise deal in or encumber FibriCheck, or use FibriCheck on behalf of any third party or make them available to any third party, nor allow or permit a third party to do any of the same;
d. copy, duplicate, reverse engineer, reverse compile, disassemble, record or otherwise reproduce FibriCheck or any part of them except as expressly provided in this Agreement;
e. remove or alter any copyright or other proprietary notice on FibriCheck.
6. Intellectual Property Rights
6.1 Qompium exclusively owns and retains all right, title, interest in and to all Intellectual Property Rights in or pertaining to FibriCheck (including but not limited to its application, algorithm, methodology) (and insofar as necessary its website) and all the documentation and materials pertaining or relating thereto (including any copies and portions thereof), whether in machine readable or printed form, including, without limitation, (i) all software and materials which are related to FibriCheck (and its website), (ii) all modifications and customizations to, and derivative works, compilations or collective works of, the FibriCheck, and (iii) all related technical know-how.
You and (potentially) other treating physicians of your Health Institution agree to be bound by and observe the proprietary nature of FibriCheck. You or (potentially) other treating physicians of your Health Institution agree not to remove, suppress or modify in any way any proprietary marking, including any trademark or copyright notice, on or in FibriCheck, or visible during its operation, or on media or on any documentation. You or (potentially) other treating physicians of your Health Institution shall incorporate or reproduce such proprietary markings in any permitted back-up or other copies.
6.2 For purposes of this Agreement, “Intellectual Property Rights” means any or all of the following: (a) all inventions (whether patentable or unpatentable and whether or not reduced to practice), all improvements thereto, and all patents, patent applications, and patent disclosures, together with all reissuances, continuations, continuations-in-part, revisions, extensions and re-examinations thereof, (b) all trademarks, service marks, trade dress, logos, trade names, and corporate names, together with all translations, adaptations, derivations, and combinations thereof and including all goodwill associated therewith, and all applications, registrations and renewals in connection therewith, (c) all copyrightable works, all copyrights, and all applications, registrations and renewals in connection therewith, (d) all confidential business information and all research and development, know-how, techniques, technical data, technology, and systems, (e) all computer software, including object code, source code, data, applications, algorithms, methodology and related documentation, (f) all internet web sites, including domain name registrations and content and software included therein, and (g) all other proprietary rights.
6.3. Notwithstanding any other provision in this Agreement, if you or (potentially) other treating physicians of your Health Institution provides any ideas, suggestions or recommendations to Qompium regarding FibriCheck or the Services (“Feedback”), Qompium is free to use and incorporate such Feedback in its products or services, without payment of royalties or other consideration to the Customer, provided however, the foregoing shall not be construed as granting Qompium any right or license to the Health Institution’s patents, copyrights or trademark rights or other Intellectual Property Right in the Feedback.
7. Infringements Claims by Third Parties
7.1 Qompium will be given prompt written notice of any third party claim on an alleged or actual infringement by FibriCheck or other material made available by Qompium, and will be granted the right to control and direct the defense and settlement of such a claim. You or (potentially) other treating physicians of your Health Institution shall be entitled to participate in such proceedings at your own cost. Qompium must keep you or (potentially) other treating physicians of your Health Institution regularly informed of the status of the proceedings and/or settlement negotiations. You or (potentially) other treating physicians of your Health Institution agree to reasonably cooperate with Qompium in the defense and settlement of such a claim at Qompium costs. In the event FibriCheck or such other material as referenced above, in Qompium’s reasonable opinion, are likely to become or actually become the subject of a claim of infringement as set out above, Qompium shall have the right, at its sole option and expense, to (i) modify, replace the (alleged) infringing material so that it becomes non-infringing while preserving substantially equivalent functionality or create a workaround; or (ii) obtain for you or (potentially) other treating physicians of your Health Institution the right to continue to use, market and distribute such material as per the terms of this Agreement.
7.2 Without prejudice to Qompium’s obligations under Article 7.1 of this Agreement, in case any alleged or actual Intellectual Property Rights infringement relating to FibriCheck is arising, you or (potentially) other treating physicians of your Health Institution shall immediate cease the use of FibriCheck after receiving written notice thereof by Qompium. In case you or (potentially) other treating physicians of your Health Institution neglect this obligation, Qompium may at its sole discretion terminate this Agreement with immediate effect and without any compensation or indemnification due by Qompium whatsoever.
7.3 Qompium shall have no liability for any claim which is based upon (i) yours or (potentially) other treating physicians of your Health Institution unauthorized use of FibriCheck, (ii) yours or (potentially) other treating physicians of your Health Institution or any third party’s modification of FibriCheck, (iii) yours or (potentially) other treating physicians of your Health Institution failure to integrate or install any corrections to FibriCheck issued by Qompium, if Qompium indicated that such update or correction was required to prevent a potential infringement, (iv) yours or (potentially) other treating physicians of your Health Institution use of FibriCheck in unauthorized or incompatible combination with any non-Qompium’s solutions or services.
8. Liability and insurances
8.1 Qompium will fulfil its obligations to the best of its ability and observe the confidentiality that may be expected from it. Qompium can never be held liable if the damage is, directly or indirectly, caused by a mistake or negligence of your (or (potentially) of another treating physician of your Health Institution) patient. The liability of Qompium for a breach under this Agreement, shall be limited to suffered foreseeable, direct and personal damages, with the exclusion of indirect, punitive, special, incidental, consequential damage (even if informed about the possibility of such consequential damage or if the likelihood of such consequential damage was reasonably foreseeable), where ‘’consequential damage’’ means: damage or loss that did not derive directly and immediately from a breach of contract and/or extra contractual non-performance, but instead indirectly and/or after a certain lapse of time, including, but not limited to loss of income, interruption or stagnation of operations, increase of staff costs and/or the costs of staff cuts, damage consisting of or as a result of claims from third parties, lack of expected savings or advantages and loss of data, profit, time or income, loss of orders, loss of customers, increase of overhead costs, consequences of a strike, irrespective of the causes, regardless of the cause of action or the theory of liability, whether in tort, contract, or otherwise.
8.2 Qompium can never be held liable for damage of any kind, which is the direct or indirect consequence of the provision of incorrect, incomplete, or insufficient information, or the lack of information, to the patient with regard to the use of FibriCheck by you or (potentially) other treating physicians of your Health Institution provided that Qompium has given correct, complete or sufficient information with regard to (i) the use of FibriCheck and (ii) analysis of the measurements by the algorithm and by the Expert Review Team. You or (potentially) other treating physicians of your Health Institution will indemnify and hold Qompium harmless against any claims of patients or third parties due to damage which is the direct or indirect consequence of the above in any way. Qompium will never be liable for damage caused directly or indirectly by acts or omissions of you, potentially other treating physicians of your Health Institution, your Health Institution or any third parties the Health Institution has hired for the implementation of this Agreement. You or (potentially) other treating physicians of your Health Institution will always be responsible and liable for the medical decisions it takes, or fails to take, in relation to the patient based on the information or data provided through FibriCheck. In addition, you or (potentially other treating physicians of your Health Institution accept and take full responsibility for the ultimate interpretation of the measurements provided by Qompium, including the ultimate interpretation of the analysis of the measurements by the algorithm and by the Expert Review Team of Qompium, as well as any continued monitoring of patients.
You confirm that you have taken out a civil (professional) liability insurance policy with sufficient coverage to fully cover possible liability vis-à-vis Qompium. You will provide supporting documentation at a single request of Qompium.
8.3 Qompium also undertakes to take out an insurance policy with sufficient coverage, which covers any damage attributable to Qompium caused by a service provided by Qompium or FibriCheck provided by FibriCheck. For this purpose, Qompium has taken out an insurance with MS Amlin with a civil professional liability insurance coverage of up to € 2.5 million per damage event and damage year, and a coverage of € 1.5 million for civil operational liability. Any judicially determined liability for damage caused by a service or the FibriCheck application provided by Qompium will always be limited to the amount paid to Qompium by its insurer based on the insurance in the relevant situation. Any additional liability of Qompium for damage on whatever grounds, including damage to patients or third parties, is expressly excluded. You or other treating physicians of your Health Institution and your Health Institution shall indemnify and hold Qompium harmless for such additional claims of patients or third parties for any damage they may have incurred.
9. Liability for software
9.1 In case of a hospital license agreement (not the default setting), a service level agreement (“SLA”) will be put in place detailing the software aspects of the FibriCheck system
9.2 Without prejudice to Article 8, the following applies with respect to the software: the error-free operation of a computer configuration (the hardware and software system) can never be fully guaranteed, both due to external factors (power outage or disruption, lightning strike, ...) and due to factors inherent to the computer configuration (defects, network errors, undiscovered errors in system and application software, ...), based on which unexpected loss of (all) programs and/or data cannot be completely excluded, among other things.
10. Processing of personal data
10.1 Personal data of patients. Qompium is the controller towards the users of the FibriCheck App for the processing of personal data with regard to the creation and maintenance of a user's account and the processing of any data thereto, including any health data of a user, who is your patient. This processing is required for the best possible performance of the FibriCheck App and complies with all statutory requirements. However, you remain the controller for the processing of the personal data of patients in the context of the interpretation and monitoring of your patients and/or for the processing of these personal data using your Health Institution’s own systems. In these situations, you (or your Health Institution) must ensure the presence of sufficient security measurements, including for the safe receipt and retention of personal data from the patient using a secure link in e-mails.
The circumstances of the processing by Qompium are set out in the FibriCheck Privacy Policy referred to in Article 12 for the user/patient, which must be accepted by him before being able to use the features of the FibriCheck App and associated services. Qompium will serve as the point of contact for the patient for questions about the processing operations using the FibriCheck App. For questions about the processing operations for which you or (potentially) other treating physicians of your Health Institution are responsible, Qompium will refer the patient to you.
10.2 Qompium may use, for research purposes, the end user data, where permission has been granted by the end user. In such cases Qompium will be the data controller for this data.
10.3 The Health Institution’s personal data. Qompium will also be the controller for the processing of personal data of you and (potentially) other treating physicians of your Health Institution.
Qompium collects and processes different types of personal data to conclude and implement the agreement, such as name, address, language, e-mail address, telephone number, physician identification number, physician category, and firm name. Qompium can also request VAT number, even though this is not required to gain access to the FibriCheck Physician Dashboard.
In addition to the conclusion and implementation of the Agreement, Qompium will also use personal data of you or (potentially) other treating physicians of your Health Institution to keep you informed of new developments and to ask for feedback about the products provided by Qompium, unless indicated that you no longer want to be contacted about this.
The execution of this Agreement, or the justified marketing interest of Qompium, are legitimate grounds for Qompium to legally process personal data. In addition to the Qompium employees, Qompium can also rely on external service providers for this purpose. However, Qompium will only grant its employees and external service providers access to personal data insofar as this is necessary for the above purposes.
You or (potentially) other treating physicians of your Health Institution can exercise various rights vis-à-vis Qompium in this respect. These rights include:
- access to personal data, or the right to request information about the processing of these personal data, or a copy of the personal data;
- to have personal data corrected if they are incorrect or incomplete;
- to transfer personal data to another controller, in certain circumstances;
- to put the processing of personal data on hold, in certain circumstances;
- to object against certain processing operations (such as processing operations aimed at direct marketing); and
- to have personal data removed, in certain circumstances. Qompium will not keep the personal data any longer than necessary for the above purposes.
To exercise the above rights or for any other questions about the processing of personal data, you or (potentially) other treating physicians can always contact dpo@fibricheck.nl or send a letter to Qompium NV, Kempische Steenweg 303 box 27, B-3500 Hasselt, made out to DPO FibriCheck.
You or (potentially) other treating physicians of your Health Institution can also file a complaint with the Data Protection Authority if you or (potentially) other treating physicians of your Health Institution believe that personal data are being processed in violation of applicable privacy legislation. In this case, Qompium kindly asks you to first contact Qompium to enable it to attempt to resolve the problem.
11. Privacy Policy and FibriCheck Terms of Use
You or (potentially) other treating physicians of your Health Institution acknowledges that you or (potentially) other treating physicians of your Health Institution as users of FibriCheck must have studied and agreed with the FibriCheck Privacy Policy and the FibriCheck Terms of Use.
By accepting these conditions, users accept the contents of the FibriCheck Privacy Policy and the FibriCheck Terms of Use, which form an integral part of this Agreement.
In the context of your services to patients, you or (potentially) other treating physicians of your Health Institution undertake to always inform the patient about both the FibriCheck Privacy Policy and the FibriCheck Terms of Use. Insofar as applicable, you or (potentially) other treating physicians of your Health Institution will ensure that the patient expressly accepts the provisions of the Privacy Policy and the FibriCheck Terms of Use.
12. Hosting services
The FibriCheck platform is hosted on Cloud services provided by Amazon (physical servers in Frankfurt). Amazon complies with ISO 27001, ISO 27017 and ISO 27018, amongst others.
13. Force majeure
If either of the parties is prevented from fully or partially providing the agreed performances, deliveries and/or work due to force majeure, it will have the right to suspend the implementation of this Agreement or to consider this Agreement fully or partially dissolved, at its discretion, by operation of law and without prior notice and judicial intervention being required, without it being held to provide any compensation or warranty. Force majeure in this context includes, without this list being exhaustive, strike, lock-out, fire, machine breakage, and other business interruptions (either at Qompium or at its suppliers of goods and services), transport interruptions, exceptional traffic obstructions, and other events outside of its control, such as war, blockage, riots, acts of terrorism, epidemic (such as Covid-19), serious illness, devaluation, floods, storms, natural disasters, as well sudden increased import duties and levies and/or taxes, delays in or lack of deliveries by suppliers, the failure to obtain the required permits, and other government measures. The party affected by the force majeure will inform the other party of the force majeure situation and the estimated duration as soon as possible.
14. Termination of the Agreement
14.1 This Agreement is concluded for an indefinite period.
14.2 Either party may terminate this agreement at any time and without being required to pay any form of compensation, provided that the other party has been informed. Please keep in mind that you undertake to monitor any patients in the possession of a valid FibriCheck access code until their access code has expired.
14.3 If legislative or regulatory changes occur during the term of this Agreement, which have an impact on this Agreement, the Parties agree to meet as soon as possible to assess the impact of these legislative or regulatory changes may have on this Agreement.
In such case, the Parties undertake to implement all modifications to this Agreement that would deem to be necessary. Failing agreement between the Parties on such modifications of if this Agreement is no longer compatible with the new regulations and Parties cannot agree on the necessary modifications, this Agreement may be terminated automatically by either Party without compensation one side or the other.
14.4 This agreement will be terminated by operation of law if a Party is being liquidated or declared bankrupt.
14.5 In case of termination of this Agreement, you or (potentially) other treating physicians of your Health Institution undertake to monitor any patients in the possession of a valid FibriCheck access code until their access code has expired.
15. Confidential information
15.1 In the context of this Agreement, “Confidential Information” refers to all proprietary or confidential knowledge or information you and (potentially) other treating physicians of your Health Institution obtain, have obtained, or may obtain about Qompium and/or any sister, parent, and/or daughter companies of Qompium in the context of or as a result of yours and (potentially) other treating physicians of your Health Institution relationship with Qompium, such as information related to activities, the strategic planning, research and development activities, ongoing or scheduled projects, product designs, trade secrets, patents, patent rights, inventions, technology, copyrights, software, improvements, applications, processes, services, cost and price policy, contact lists of Qompium, including (i) information in the form of diagrams, memos, scientific data, and memoranda, and (ii) information about methods, know-how, and techniques. Information about companies competing with Qompium is also considered Confidential Information.
Without prejudice to the above paragraph, the Confidential Information does not concern information:
- which is or becomes public knowledge through no fault of you or (potentially) other treating physicians of your Health Institution or
- which you and (potentially) other treating physicians of your Health Institution have obtained from another source than Qompium in a legal manner as demonstrated by a written document, without this violating the duty of confidentiality between this source and Qompium; or
- which, as demonstrated by a written document, was in your possession before the date on which you and (potentially) other treating physicians of your Health Institution received it from Qompium, or which you created independently before receiving it from Qompium, and which is not subject to other limitations on disclosure or use.
15.2 You and (potentially) other treating physicians of your Health Institution acknowledge that Confidential Information is strictly confidential and secret, and has a valuable, special, and unique meaning to Qompium.
15.3 In addition to and without prejudice to any other statutory obligation, you and (potentially) other treating physicians of your Health Institution undertake not to use, or enable the use of, to continue to process, to disclose, to transfer, or to publish any Confidential Information in any way, irrespective of the importance of this Confidential Information, either directly or indirectly, fully or partially, irrespective of the circumstance and irrespective of the purpose and reasons, unless this is necessary for the implementation of this Agreement. You and (potentially) other treating physicians of your Health Institution also undertake not to enable any third party to use Confidential Information in violation of the provisions in the above sentence.
16. No subordinate relationship
This Agreement between Qompium you does not result in any subordinate relationship. Nothing in this Agreement will result in you becoming an employee, a hired worker, an agent, or a partner of Qompium.
17. Nullity
The nullity or unenforceability of a provision of this Agreement and/or of these conditions does in no way adversely affect the validity or the enforceability of the other provisions of this Agreement and/or conditions. Where relevant, the parties will immediately and in good faith initiate negotiations to replace the provision in question by a provision that deviates from the invalid or unenforceable provision as little as possible, but which is valid and enforceable. When drawing up this new provision, the parties will take the content and finality of the original provision, as well as the agreement and the conditions in general, into account.
18. Reference
You accept that this Agreement between Qompium and you can be included in the reference portfolio of Qompium.
19. Applicable law – competent court
This Agreement is governed by the laws of Belgium. All disputes which may arise from this Agreement, which cannot be settled amicably, are subject to the exclusive jurisdiction of the courts of the judicial district of Antwerp.
